Bright Inspect Customer Terms of Service
Effective Date: May 12th, 2026
These Terms of Service (“Terms”) are between Bright Inspect, LLC (“Bright Inspect,” “we,” “us,” or “our”) and you (“you” or “your”) and govern your access to and use of Bright Inspect’s mobile, virtual, remote, and in-person inspection, verification, compliance, reporting, and related technology-enabled services (collectively, the “Services”).
Please read these Terms carefully.
If you are accessing or using the Services pursuant to a separate written agreement with Bright Inspect, including a master services agreement, statement of work, enterprise services agreement, or similar written contract, that written agreement shall control to the extent of any conflict with these Terms with respect to the subject matter addressed therein.
1. Acceptance of These Terms
PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING THE SERVICES.
By clicking “I Agree,” creating an account, scheduling or performing an inspection, submitting information, or otherwise accessing or using the Services, you agree to be legally bound by these Terms, including provisions relating to electronic transactions, disclaimers of warranties, limitations of liability, arbitration, and governing law.
If you do not agree to these Terms, do not access or use the Services.
You represent and warrant that you have the legal authority to enter into these Terms on your own behalf or on behalf of an entity you represent. You agree to indemnify and hold harmless Bright Inspect and its affiliates, officers, employees, contractors, inspectors, and agents from any damages arising from a breach of this representation.

2. Changes to These Terms
Bright Inspect may modify these Terms at any time. Material changes will be presented to you for acceptance before continued use of the Services. Continued use after the effective date of any update constitutes acceptance of the revised Terms.
Unless otherwise stated, changes become effective three (3) days after posting.
3. Privacy Policy
Our collection and use of personal information is governed by our Privacy Policy, available at www.brightinspect.com/privacy, which is incorporated into these Terms by reference.
If you do not agree to the Privacy Policy, do not use the Services.
4. Eligibility and Account Registration
To access certain Services, you may be required to create an account and provide accurate, complete, and current information. You must be at least eighteen (18) years old and reside in, or access the Services from, a jurisdiction in which the Services are offered. Bright Inspect may refuse, restrict, or revoke access where it reasonably determines that account information is inaccurate, incomplete, misleading, unauthorized, or creates legal, security, or operational concerns.
You are responsible for maintaining the confidentiality and security of your account credentials and for all activities conducted through your account, whether or not expressly authorized by you, except to the extent caused directly by Bright Inspect’s own unauthorized acts. You agree to promptly notify Bright Inspect of any actual or suspected unauthorized access, credential compromise, security incident, or misuse relating to your account or the Services.
If you access or use the Services on behalf of another person, company, fleet, or other legal entity, you represent and warrant that you have authority to bind that person or entity to these Terms, and you remain responsible for all activity conducted through the applicable account or under the applicable relationship with Bright Inspect.
5. License and Use of the Services
Subject to these Terms, Bright Inspect grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Services solely for lawful purposes, solely for your internal business or personal use in connection with the intended purpose of the Services, and solely in accordance with these Terms and any applicable program requirements, instructions, or supplemental terms made available by Bright Inspect.
You agree to comply with all applicable laws, rules, regulations, and third-party requirements relating to transportation, safety, inspections, documentation, reporting, compliance, and use of the Services. You shall not misuse the Services, interfere with their operation, submit false or misleading information, attempt to gain unauthorized access to any Bright Inspect system, reverse engineer or copy any part of the Services, scrape or extract data except as expressly authorized, or use the Services, reports, workflows, or outputs to develop or support any competing product or service.
Bright Inspect reserves all rights not expressly granted in these Terms and may impose reasonable technical, operational, or program-specific restrictions on your access to or use of the Services from time to time.
6. Inspection, Compliance & Regulatory Disclaimer
Bright Inspect provides vehicle inspection, documentation, verification, reporting, and related compliance-support services designed to assist customers with operational, program, platform, insurer, and regulatory workflows. The Services are limited to collecting, reviewing, documenting, processing, transmitting, and reporting observable information, submitted information, and related outputs in accordance with defined criteria and the applicable service parameters at the time the Services are performed.
The Services are informational in nature only. Unless expressly stated otherwise in a separate writing signed by Bright Inspect, the Services do not constitute legal advice, regulatory advice, mechanical advice, engineering advice, safety advice, diagnostic services, roadworthiness certification, or any warranty, representation, or guarantee regarding a vehicle, document, operator, or program participant. Bright Inspect does not provide legal determinations, regulatory determinations, engineering opinions, mechanical certifications, safety certifications, or guarantees of compliance, eligibility, acceptance, approval, certification, or continued authorization.
All inspection results, reports, images, videos, notes, scores, assessments, and related documentation reflect only the observable conditions and the information, documentation, access, and media made available to Bright Inspect at the time the Services are performed. Such outputs may be affected by visibility limitations, remote-viewing limitations, connectivity issues, environmental conditions, incomplete submissions, restricted access, inaccurate information, or other factors outside Bright Inspect’s reasonable control.
Bright Inspect does not disassemble vehicles, perform invasive testing, perform mechanical or diagnostic testing, independently verify concealed systems or conditions, or inspect any area, component, or condition that is not visible, accessible, disclosed, or otherwise made available during the service process. To the extent the Services are performed remotely, virtually, by photo submission, by video submission, or through other technology-assisted methods, you acknowledge that such methods have inherent limitations as compared to in-person or hands-on evaluations and may depend on the quality, completeness, timing, and accuracy of the information and media provided.
THE SERVICES PROVIDED BY BRIGHT INSPECT ARE STRICTLY INFORMATIONAL AND DO NOT CONSTITUTE A COMPREHENSIVE SAFETY INSPECTION, MECHANICAL INSPECTION, DIAGNOSTIC EVALUATION, ENGINEERING OPINION, OR ROADWORTHINESS CERTIFICATION.
Final compliance, eligibility, certification, approval, acceptance, onboarding, continued participation, reimbursement, coverage, licensing, authorization, or other determinations remain solely the responsibility of the applicable regulator, insurer, platform, marketplace, contracting party, fleet operator, enterprise client, or other third party. Bright Inspect has no authority over, and assumes no responsibility for, any approval, denial, suspension, revocation, rejection, removal, modification, or other determination made by any third party, even if such determination references or relies upon information generated through the Services.
You acknowledge and agree that you are solely responsible for the safety, maintenance, legal compliance, documentation, ownership, use, operation, and mechanical condition of any vehicle involved in the Services, and for the accuracy, completeness, legality, and sufficiency of all information, materials, representations, and submissions provided in connection with the Services. Bright Inspect may rely on the information and materials you provide without independently verifying their accuracy, completeness, authenticity, or legal sufficiency.
If you have any concerns regarding the safety, operation, roadworthiness, mechanical condition, legal compliance, or suitability of a vehicle, you are solely responsible for obtaining any additional inspection, evaluation, or professional advice you believe is necessary, including from a qualified third-party mechanic, licensed inspection provider, legal advisor, regulator, insurer, or other appropriate professional. You agree that use, ownership, and operation of a vehicle involves inherent risks, and you voluntarily assume all such risks except to the extent liability cannot be disclaimed under applicable law.
Any liability of Bright Inspect arising out of or relating to the Services is subject to the disclaimers, exclusions, limitations of liability, dispute resolution provisions, and other protective provisions set forth elsewhere in these Terms.
7. User-Provided Information
You represent and warrant that all information, documentation, images, videos, records, submissions, and other materials you provide in connection with the Services are accurate, complete, current, and submitted with full authority and all necessary rights, consents, notices, and permissions. You are solely responsible for the legality, sufficiency, and reliability of all user-supplied information and materials.
Bright Inspect may rely on the information and materials you provide without independently verifying their accuracy, completeness, authenticity, or legal sufficiency, and Bright Inspect is not responsible for inaccuracies, omissions, delays, denials, adverse determinations, or other consequences arising from inaccurate, incomplete, outdated, manipulated, misleading, or unauthorized user-supplied information.
You grant Bright Inspect and its affiliates, inspectors, subcontractors, service providers, platforms, insurers, regulators, enterprise clients, and other authorized third parties a non-exclusive, worldwide, royalty-free right and license to store, host, process, transmit, display, analyze, disclose, and otherwise use such information and materials as reasonably necessary to provide the Services, generate reports and outputs, administer accounts, support compliance workflows, communicate results, support quality assurance, prevent fraud, improve service delivery, and satisfy legal, regulatory, contractual, or operational requirements.
8. Ownership of Reports, Data, and Outputs
As between you and Bright Inspect, you retain ownership of the raw information, documents, and materials you submit to Bright Inspect, subject to the rights and licenses granted under these Terms. Nothing in these Terms transfers ownership of your submitted information to Bright Inspect except as expressly stated with respect to Bright Inspect-owned outputs and derivative materials.
All inspection reports, inspection outputs, images, videos, metadata, structured data, notes, scores, assessments, analytics, workflows, compliance logic, reporting structures, and other outputs generated, captured, processed, or delivered through the Services, together with any aggregated, anonymized, de-identified, benchmarked, modeled, or derivative data created from or based upon the Services or such outputs, are owned exclusively by Bright Inspect, except to the extent prohibited by applicable law.
Bright Inspect grants you a limited, non-exclusive, revocable, non-transferable right to access and use Inspection Data delivered to you solely for its intended operational, informational, and compliance-support purposes and solely in accordance with these Terms. Bright Inspect may retain, aggregate, analyze, anonymize, de-identify, benchmark, disclose, commercialize, and otherwise use Inspection Data and related derivative materials for business operations, quality assurance, analytics, security, fraud prevention, compliance support, service improvement, research, product development, and other lawful business purposes.
9. Third-Party Services
The Services may integrate with or link to third-party websites, platforms, or services not controlled by Bright Inspect. Your use of third-party services is governed by their own terms and policies. Bright Inspect disclaims all responsibility for third-party services.
10. Fees, Payments, and No Refunds
All fees, charges, and other amounts payable for the Services are non-cancellable and non-refundable unless otherwise expressly agreed in writing by Bright Inspect. You are responsible for all applicable taxes, duties, levies, or governmental charges associated with your use of the Services, other than taxes based on Bright Inspect’s net income.
Unless otherwise stated in applicable supplemental terms or a separate written agreement, Bright Inspect may charge the payment method you provide for applicable fees and charges as they become due. You authorize Bright Inspect to use and process your payment information for billing, collections, adjustments, and related account administration.
Following cancellation or termination initiated by you, access to the Services may continue through the end of the applicable billing period if and to the extent determined by Bright Inspect or the applicable billing structure. Bright Inspect may, in its sole discretion, issue credits, refunds, or adjustments, but any such accommodation is voluntary and shall not create any obligation or precedent for future credits, refunds, or adjustments.
11. Cancellation
You may cancel your account at any time through your account dashboard or by contacting support. Cancellation does not entitle you to a refund for unused time.
12. Intellectual Property
All software, systems, workflows, reports, templates, forms, algorithms, interfaces, methodologies, business rules, compliance logic, analytics, databases, trademarks, logos, service marks, documentation, and other materials, technology, and content provided through or in connection with the Services, together with all modifications, enhancements, derivative works, and related intellectual property rights therein, are owned by Bright Inspect or its licensors and are protected by intellectual property, trade secret, and other applicable laws.
Except for the limited rights expressly granted in these Terms, no right, title, or interest in or to the Services, the Materials, or any related intellectual property is transferred, assigned, or conveyed to you. You may not copy, reproduce, distribute, publish, modify, adapt, translate, scrape, reverse engineer, disassemble, decompile, create derivative works from, resell, sublicense, lease, rent, timeshare, or otherwise exploit the Services or any Materials except as expressly authorized by Bright Inspect in writing.
You may not use the Services, the Materials, or any reports, outputs, workflows, structures, or logic generated through the Services to develop, train, benchmark, improve, or support any competing or substantially similar product or service. All rights not expressly granted are reserved by Bright Inspect and its licensors.
13. Force Majeure
Bright Inspect shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, weather conditions, power failures, internet outages, government actions, regulatory changes, labor disputes, platform or API outages, or third-party service failures.
14. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIGHT INSPECT DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, RELIABILITY, REGULATORY ACCEPTANCE, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.
BRIGHT INSPECT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, FULLY SECURE, OR COMPATIBLE WITH EVERY DEVICE, SYSTEM, VEHICLE, PLATFORM, MARKETPLACE, INSURER, REGULATOR, OR THIRD-PARTY SERVICE. BRIGHT INSPECT DOES NOT WARRANT ANY PARTICULAR BUSINESS, OPERATIONAL, REGULATORY, INSURANCE, OR PROGRAMMATIC OUTCOME FROM YOUR USE OF THE SERVICES.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIGHT INSPECT AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, INSPECTORS, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR SIMILAR DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF BUSINESS, LOSS OF GOODWILL, LOSS OF DATA, LOSS OF USE, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIGHT INSPECT’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS (USD $100.00).
THE FOREGOING LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION AND EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
16. Indemnification
You agree to defend, indemnify, and hold harmless Bright Inspect, its affiliates, licensors, inspectors, service providers, and each of their respective officers, directors, employees, contractors, agents, and representatives from and against any claims, demands, actions, proceedings, damages, liabilities, judgments, settlements, losses, costs, and expenses, including reasonable attorneys’ fees and legal costs, arising out of or relating to your access to or use of the Services, your submitted information, data, documents, images, videos, or other materials, your violation of these Terms or any applicable law, your violation of any third-party rights, or any act or omission of any person using the Services through your account or on your behalf.
Bright Inspect reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate fully in the defense and settlement of such matter. You may not settle any claim subject to this Section without Bright Inspect’s prior written consent if the settlement imposes any obligation, admission, restriction, or liability on Bright Inspect.
This Section shall survive the suspension, termination, or expiration of these Terms and your use of the Services.
17. Governing Law
These Terms, and any dispute arising out of or relating to these Terms or the Services, shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles.
18. Arbitration
PLEASE READ THIS SECTION CAREFULLY.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by JAMS in accordance with its applicable rules. The arbitration shall be seated in the State of Texas and conducted before a single arbitrator.
You waive the right to a jury trial and to participate in any class action, class arbitration, or representative proceeding.
Any arbitration award may be enforced in any court of competent jurisdiction.
Claims must be brought within one (1) year of accrual.
19. Jurisdiction for Non-Arbitrable Matters
For any dispute not subject to arbitration, including actions to compel arbitration or enforce an arbitration award, you and Bright Inspect agree to the and you consent to personal jurisdiction in those courts.
20. Termination
Bright Inspect may suspend, restrict, or terminate your access to the Services, in whole or in part, immediately upon notice or without notice where reasonably necessary, if you violate these Terms, if Bright Inspect reasonably suspects fraud, misuse, unauthorized access, false submissions, or other harmful activity, if the security, integrity, availability, or lawful operation of the Services is threatened, or if suspension or termination is required to comply with applicable law, legal process, regulatory requirements, or governmental requests.
Bright Inspect may also suspend, restrict, or terminate access where reasonably necessary to protect Bright Inspect, its systems, its inspectors, its service providers, other users, or third parties from legal, security, operational, or reputational risk. Bright Inspect shall have no liability for any loss or damage arising from any suspension, restriction, or termination implemented in good faith pursuant to these Terms.
Upon suspension or termination, your right to access and use the affected Services shall cease to the extent specified by Bright Inspect, and Bright Inspect may deactivate or disable your account and related credentials. Any provision of these Terms that by its nature should survive suspension or termination shall survive, including provisions relating to ownership, data rights, disclaimers, limitation of liability, indemnification, dispute resolution, and miscellaneous terms.
21. Entire Agreement
These Terms constitute the entire agreement between you and Bright Inspect regarding the Services and supersede all prior agreements.
22. Feedback
Any feedback, suggestions, or ideas you provide become the exclusive property of Bright Inspect without compensation.
23. Miscellaneous
Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Bright Inspect.
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by law and the remaining provisions shall remain in full force and effect. Any invalid, illegal, or unenforceable provision shall be deemed modified only to the extent necessary to make it enforceable while preserving its intent as closely as possible.
Bright Inspect’s failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision, and no waiver shall be effective unless made in writing by Bright Inspect. Any waiver of any breach or default shall not be deemed a waiver of any subsequent breach or default.
You may not assign, delegate, or otherwise transfer these Terms or any of your rights or obligations under these Terms without Bright Inspect’s prior written consent. Bright Inspect may assign or transfer these Terms in connection with a merger, acquisition, restructuring, financing transaction, or sale of assets.
These Terms may be accepted electronically and may be evidenced by electronic records, and you agree that electronic acceptance shall have the same force and effect as a handwritten signature.
